Introduction

These Terms of Use ("Terms") govern your access to and use of www.hmgintelligence.com and any pages, content, or services we make available through it (collectively, the "Site"). The Site is operated by Haze Media Group LLC, doing business as HMGi.

By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site you confirm that you meet these requirements.

The Site is operated from the United States. We make no claim that the Site or its content is appropriate or available for use in other locations. Anyone who accesses it from elsewhere does so on their own initiative and is responsible for compliance with their local laws.

Scope of these Terms

The Site is provided for general information about HMGi and the services we offer. Descriptions of our work, results, and capabilities are illustrative and are not a promise of any particular outcome for your business.

Nothing on the Site is a binding offer or a contract for services. Any engagement between you and HMGi is governed by a separate written agreement that we both sign. Content on the Site may change without notice, and we have no obligation to keep it current.

Acceptable use

You agree to use the Site only for lawful purposes and in a way that is consistent with these Terms. You agree not to:

  • Use the Site in any way that could disable, overburden, damage, or impair it, or interfere with anyone else's use of it.
  • Use any robot, spider, scraper, or other automated means to access the Site without our prior written consent, except for ordinary search-engine crawling consistent with our robots.txt.
  • Attempt to gain unauthorized access to any part of the Site, or to any account, server, or system connected to it.
  • Probe, scan, or test the vulnerability of any system or network connected to the Site, or breach any security or authentication measure.
  • Use the contact form or any other input to send unsolicited promotional material, malware, or content that is unlawful, harassing, defamatory, or infringing.
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity.

Intellectual property

The Site, including its text, graphics, logos, images, audio, video, software, design, and other content (collectively, "Content"), is owned by or licensed to Haze Media Group LLC and is protected by United States and international copyright, trademark, and other intellectual-property laws. "HMGi" and related names and logos are marks of Haze Media Group LLC.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to view the Content for your personal, non-commercial use. You may not reproduce, modify, distribute, publicly display, or create derivative works from the Content without our prior written consent, except that you may print or download a reasonable number of copies for your personal use, provided you keep all copyright and other proprietary notices intact.

Client names, logos, and other third-party marks shown on the Site are the property of their respective owners and are used with permission or as nominative fair use.

Privacy

Our collection and use of information through the Site is described in our Privacy Policy, which is part of these Terms by reference. By using the Site you consent to that collection and use.

Disclaimers and no warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HAZE MEDIA GROUP LLC DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components; that the Content will be accurate, complete, or current; or that any defects will be corrected. Your use of the Site is at your own risk.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL HAZE MEDIA GROUP LLC OR ITS OWNERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE EXCLUSIONS OR LIMITATIONS, SO THEY MAY NOT ALL APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Haze Media Group LLC and its owners, employees, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any rights of any third party. We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in that defense.

Governing law and venue

These Terms, and any dispute arising out of or related to the Site, are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. You agree that the exclusive jurisdiction and venue for any action arising out of or related to these Terms will be the state and federal courts located in Jackson County, Missouri, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will stay in full force and effect.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. If we make material changes, we will take reasonable steps to note them on the Site. Your continued use of the Site after an update means you accept the revised Terms.
